Welcome to Compassell. These Terms & Conditions (“Terms”) govern your access to and use of Compassell, including our website, accounts, business listings, reviews, messaging features, paid services, and other features we may provide.

By accessing or using Compassell, creating an account, submitting or claiming a listing, posting a review, purchasing a service, or otherwise using our platform, you agree to these Terms.

If you do not agree with these Terms, please do not use Compassell.

1. About Compassell

Compassell is an online directory and discovery platform designed to help people find businesses, services, places, events, jobs, properties, deals, and other useful local information.

Businesses and other eligible users may create, manage, claim, and promote listings where these features are available.

Compassell is primarily a platform connecting users with independent businesses and service providers. Unless expressly stated otherwise, Compassell does not own, operate, manage, endorse, or control businesses listed on the platform.

2. Eligibility

You must be legally capable of entering into a binding agreement under the laws applicable to you to create an account or purchase paid services.

If you use Compassell on behalf of a company, business, organization, or other entity, you confirm that you are authorized to act on its behalf.

3. User Accounts

Certain Compassell features may require an account.

When creating or maintaining an account, you agree to provide accurate and current information and keep that information updated.

You are responsible for maintaining the security and confidentiality of your login credentials.

You may not impersonate another person or business, create an account using deliberately false information, or access another user's account without authorization.

Please notify Compassell promptly if you believe your account has been accessed without authorization.

4. Business Listings

Compassell allows eligible users to submit and manage business and other listings.

When submitting a listing, you confirm that:

  • The information you provide is accurate to the best of your knowledge.
  • You are authorized to provide that information.
  • You have permission to use any photographs, logos, videos, trademarks, or other material you upload.
  • Your listing complies with applicable laws and these Terms.
  • You will not intentionally mislead users about your identity, location, products, services, prices, or qualifications.

Compassell may review, approve, reject, restrict, suspend, or remove listings when reasonably necessary.

Publication of a listing is not guaranteed.

5. Publicly Available Business Information

Compassell may display publicly available information concerning businesses, organizations, places, and services.

This information may originate from official websites, public databases, directories, publicly accessible sources, business owners, users, or other lawful sources.

Business owners or authorized representatives may be able to claim a listing and request corrections or updates.

If you believe information displayed about you or your business is inaccurate, outdated, unauthorized, or otherwise problematic, please contact Compassell.

6. Claiming a Business

Compassell may allow an authorized business owner or representative to claim an existing listing.

Submitting a claim does not automatically establish ownership.

Compassell may request reasonable evidence to verify that a person is authorized to manage the business, including email verification, telephone verification, documentation, or other appropriate methods.

Compassell may reject or reverse a claim if authorization cannot reasonably be verified.

7. Reviews and Ratings

Compassell may allow users to submit ratings, reviews, photographs, comments, and other contributions.

Reviews should represent genuine experiences or legitimate opinions.

Users must not submit:

  • Fake or fraudulent reviews.
  • Deliberately misleading information.
  • Reviews created to manipulate a business's rating.
  • Undisclosed paid or incentivized reviews.
  • Threatening or harassing material.
  • Unlawful or discriminatory content.
  • Spam.
  • Confidential or private information that the user is not authorized to disclose.
  • Content that infringes another person's intellectual property or other rights.

Businesses must not create fake positive reviews for themselves or false negative reviews for competitors.

Compassell may moderate, restrict, or remove reviews that violate these Terms or applicable law.

8. User Content

“User Content” includes listings, reviews, photographs, logos, comments, messages, descriptions, and other material submitted to Compassell by users.

You retain any ownership rights you have in your User Content.

By submitting User Content, you give Compassell permission to host, store, reproduce, display, resize, format, and otherwise process that content as reasonably necessary to operate and promote the Compassell platform and provide its services.

You remain responsible for the content you submit.

9. Prohibited Content and Activities

Compassell must not be used for unlawful, fraudulent, deceptive, abusive, or harmful activities.

Prohibited activities include:

  • Fraud and scams.
  • Impersonation.
  • Illegal goods or services.
  • Stolen or counterfeit goods.
  • Phishing, malware, hacking, or malicious software.
  • Intellectual property infringement.
  • Unauthorized disclosure or collection of personal information.
  • Spam or abusive advertising.
  • Deliberate manipulation of ratings, reviews, rankings, or traffic.
  • Automated scraping or excessive automated access without authorization.
  • Content promoting unlawful conduct.

Compassell may establish additional restrictions for particular categories or services.

10. Content Moderation

Compassell may use reports from users, human review, automated systems, or other reasonable methods to identify content that may violate our Terms, policies, or applicable law.

Depending on the circumstances, Compassell may:

  • Reject content.
  • Request changes.
  • Reduce or restrict visibility.
  • Remove content.
  • Suspend a listing.
  • Restrict account features.
  • Suspend or terminate an account.

Where applicable law requires it, users may receive information concerning certain moderation decisions and available methods of appeal or redress.

11. Reporting Content

Users and businesses may report content they believe is unlawful, fraudulent, inaccurate, infringing, or contrary to these Terms.

Reports should provide enough information for Compassell to identify and evaluate the content concerned.

Knowingly submitting false or abusive reports may violate these Terms.

12. Paid Listings and Premium Services

Compassell may offer paid products or services, including premium listings, featured placement, subscriptions, promotional services, advertising, or other enhanced features.

The applicable price, duration, billing period, and included features will be displayed before purchase.

Purchasing a premium or featured listing may increase visibility on Compassell but does not guarantee any specific number of views, enquiries, leads, customers, bookings, sales, or other business results.

Paid placement does not determine the substance of genuine user reviews.

13. Subscriptions

Certain paid Compassell services may be offered as recurring subscriptions.

Where automatic renewal applies, the renewal period, price, and applicable conditions will be disclosed before purchase.

By purchasing a recurring subscription, you authorize Compassell and its payment provider to process recurring payments until the subscription is cancelled in accordance with the applicable cancellation terms.

14. Payments

Payments may be processed by independent payment providers made available through Compassell.

Compassell may not directly receive or store complete payment-card information.

Payment processing may also be subject to the terms and privacy policies of the payment provider selected by the customer.

15. Cancellations and Refunds

Cancellation, withdrawal, and refund rights may depend on the service purchased, customer status, applicable law, and the conditions presented during checkout.

Where mandatory consumer cancellation, withdrawal, or refund rights apply, Compassell will respect those rights.

Specific conditions applicable to a paid product may be presented before the purchase is completed.

Nothing in these Terms removes rights that cannot legally be excluded.

16. Advertising and Sponsored Listings

Compassell may display advertisements, sponsored businesses, featured listings, promoted content, or other commercial placements.

Paid placements may be identified using terms such as “Sponsored,” “Featured,” “Promoted,” or similar labels where appropriate.

Compassell does not guarantee the products, services, availability, performance, or representations of independent advertisers.

17. Communications

Compassell may provide messaging, contact, enquiry, or similar communication tools.

Users are responsible for their communications and dealings with other users and independent businesses.

Compassell is generally not a party to agreements or transactions concluded directly between users and independent businesses.

18. Business Transactions

Compassell helps users discover businesses and opportunities, but users should perform appropriate checks before making purchases, bookings, applications, reservations, investments, or other commitments.

Users should independently confirm important information such as:

  • Prices.
  • Availability.
  • Opening hours.
  • Business identity.
  • Professional qualifications.
  • Licences.
  • Product or service specifications.
  • Terms offered by the business.

Any contract formed directly between a user and an independent business is generally between those parties.

19. Accuracy of Information

Compassell aims to provide useful information but cannot guarantee that every listing, address, telephone number, opening hour, price, photograph, description, review, availability status, or other piece of information is always accurate or current.

Businesses are responsible for maintaining information associated with profiles they control.

Users should verify important information directly with the relevant business.

20. Third-Party Websites and Services

Compassell may contain links to external websites, social networks, payment providers, booking services, maps, applications, and other third-party services.

Those services are operated independently.

Compassell is not responsible for third-party websites' content, availability, security, privacy practices, products, or services.

21. Intellectual Property

The Compassell name, branding, original content, website design, graphics, platform elements, and other materials owned by Compassell are protected by applicable intellectual property laws.

Users may not reproduce, distribute, sell, modify, scrape, commercially exploit, or otherwise misuse Compassell-owned material without authorization, except where permitted by law.

Business names, trademarks, photographs, logos, and other material belonging to third parties remain the property of their respective owners.

22. Intellectual Property Complaints

If you believe content on Compassell infringes your copyright, trademark, or other intellectual property rights, please contact us.

Your notice should identify:

  • The protected work or right.
  • The allegedly infringing material.
  • Where the material appears on Compassell.
  • Your contact information.
  • The basis of your complaint.

Compassell may request additional information when reasonably necessary to investigate the complaint.

23. Suspension and Termination

Compassell may restrict, suspend, or terminate a listing or account where reasonably necessary, including when:

  • These Terms are violated.
  • Fraud or abuse is suspected.
  • Unlawful or prohibited content is repeatedly submitted.
  • A payment is fraudulent, reversed, or remains unpaid.
  • Platform security is threatened.
  • Another person's rights are being infringed.
  • Compassell is legally required to take action.

Users may stop using Compassell at any time and may request account closure, subject to applicable legal and record-retention requirements.

24. Platform Availability

We work to keep Compassell available and functioning properly, but continuous or error-free access cannot be guaranteed.

Access may occasionally be interrupted because of maintenance, updates, security measures, infrastructure problems, technical failures, or circumstances beyond our reasonable control.

Compassell may modify, replace, improve, or discontinue features over time.

25. No Guarantee of Results

Compassell does not guarantee that using the platform will result in a particular level of:

  • Website traffic.
  • Search engine ranking.
  • Customer enquiries.
  • Leads.
  • Bookings.
  • Reviews.
  • Sales.
  • Revenue.

Results depend on numerous factors outside Compassell's control.

26. Disclaimer

Compassell provides a platform for discovering and interacting with independent businesses and other users.

Unless expressly stated otherwise, Compassell does not independently guarantee the identity, legitimacy, qualifications, products, services, financial standing, availability, or conduct of every business or person appearing on the platform.

Users should exercise reasonable judgment and conduct appropriate checks before entering into transactions.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Compassell will not be responsible for indirect, incidental, special, or consequential losses resulting from dealings between users and independent third parties, reliance on inaccurate third-party information, or circumstances outside Compassell's reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

28. Changes to These Terms

Compassell may update these Terms when necessary to reflect changes to our services, platform, policies, business operations, or legal requirements.

The latest version will be published on Compassell with an updated revision date.

Where required by applicable law, users will receive additional notice of material changes.

29. Governing Law and Disputes

These Terms will be governed by the laws applicable to the legal entity operating Compassell, subject to any mandatory consumer protections and jurisdictional rights that apply.

Before beginning formal legal proceedings, users are encouraged to contact Compassell so that we can attempt to resolve the issue.

The legal entity name, registration jurisdiction, registered address, and applicable dispute-resolution information will be inserted here before Compassell begins commercial operations.

31. Entire Agreement

These Terms, together with the Compassell Privacy Policy, Cookie Policy, applicable payment or subscription conditions, and any other policies expressly incorporated by reference, constitute the terms governing your use of Compassell.

If any provision is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the maximum extent permitted by law.
